STANDARD TERMS AND CONDITIONS OF SALE

These Standard Terms and Conditions of Sale ("Terms") govern all quotations, order confirmations and sales contracts issued by HGP VIETNAM IMPORT EXPORT PRODUCTION TRADE SERVICE COMPANY LIMITED ("HGP Vietnam", "the Seller") to any buyer ("the Client"). By placing an order, the Client explicitly waives its own standard terms and conditions, even if these were drawn up after these Terms. Any derogation is only valid if expressly agreed in writing in advance.

1. Orders & Order Confirmation

An order is only considered confirmed once HGP Vietnam has issued a written order confirmation (Proforma Invoice / Sales Order) and received the agreed deposit from the Client. Any changes to product specifications, materials, finishes or quantities after order confirmation may affect price and delivery date.

2. Pricing & Payment Terms

Prices are quoted in USD on a FOB basis (Vietnam seaport) unless otherwise agreed in writing (e.g. DDP). Unless another payment timeframe is indicated on the order confirmation or invoice, standard payment terms are a deposit upon order confirmation with the balance payable before shipment. Invoices not covered by a specific agreement are payable within 21 working days. In the event of late payment, HGP Vietnam reserves the right to charge interest of 10% of the outstanding amount and to suspend production or shipment without prior notice. If payment remains outstanding more than sixty (60) days after the due date, HGP Vietnam reserves the right to engage a debt recovery service, with all related legal costs payable by the Client. Any withholding tax applied under the Client's local legislation is borne by the Client; the invoiced amount is due to HGP Vietnam in full.

3. Delivery Terms & Delivery Date

Delivery terms follow Incoterms® 2020, primarily FOB (Free On Board, Vietnam seaport), with DDP (Delivered Duty Paid) available on request - see our Incoterms 2020 page for details on each term.

The delivery date is an estimate that varies according to each order - depending on product type, customization, order quantity and factory workload at the time of order confirmation. The estimated production and shipment schedule will be confirmed in writing at order confirmation and tracked throughout production; it does not constitute a fixed guaranteed date, and HGP Vietnam is not liable for delays caused by force majeure, carrier schedules, or Client-side changes to the order.

4. Production, Quality & Inspection

HGP Vietnam undertakes to use its best efforts to manufacture and deliver goods in accordance with the agreed specifications and timeframe; however, this is an obligation of means, not an obligation of result. The Client may request pre-shipment inspection at its own cost. Any claim regarding quality or quantity must be notified to HGP Vietnam's registered office in writing within 8 days of delivery of the goods, failing which the delivery is deemed accepted.

5. Retention of Title

Ownership of the goods remains with HGP Vietnam until full payment of the corresponding invoice has been received.

6. Force Majeure

HGP Vietnam shall not be held liable for any delay or failure to perform its obligations resulting from events beyond its reasonable control, including but not limited to natural disasters, strikes, shortages of raw materials, transport disruption, or government action.

7. Governing Law

All contractual relations between HGP Vietnam and the Client are governed exclusively by the laws of Vietnam. Any dispute shall first be settled amicably; failing that, it shall be submitted to the competent courts of Vietnam.
